📜 Terms of Use

These Terms of Use ("Terms") govern access to and use of the GreenGate geospatial validation API ("Service"). By using our API, you ("Customer", "you") fully agree to these Terms.

1. Acceptance of Terms

By requesting an API key or making your first request, you declare that:

• You have read and understood these Terms
• You have legal capacity to contract (individual over 18 years or registered company)
• The information provided during registration is truthful

2. Service Description

2.1. What We Provide

GreenGate is a geospatial validation API that:

• Cross-references polygons with 6 official Brazilian environmental databases
• Generates PDF reports with risk scores (0-100)
• Provides public verification via QR Code

2.2. What We Do NOT Provide

2.3. Geographic Coverage

Currently specialized in Mato Grosso state, Brazil (27% of Brazil's soy exports). Coverage may expand based on data availability.

3. API Key and Account

3.1. API Key Security

You are responsible for:

• Keeping your API key confidential
• Not sharing keys with unauthorized third parties
• Immediately reporting suspected key compromise
• All activity performed with your key

3.2. Account Suspension

We may suspend or revoke access without prior notice in case of:

• Violation of these Terms
• Fraudulent or illegal use
• API abuse (attacks, excessive load)
• Non-payment of invoices

4. Pricing and Payment

4.1. Pricing

• Brazilian market: R$ 15.90 per validation
• International/European market: €19.90 per validation
  • 100+ validations/month: €16.90
  • 500+ validations/month: €14.90

4.2. Billing

• Billing occurs monthly based on actual usage
• Invoices sent on the 1st business day of each month
• Payment due within 15 days
• Accepted methods: Bank transfer, credit card, PayPal

4.3. Price Changes

We may adjust prices with 30 days' advance notice via email. Continued use after notification constitutes acceptance.

5. Acceptable Use

5.1. Permitted Use

• Internal environmental compliance validation
• Integration into your own platforms (white-label allowed)
• Supply chain due diligence
• EUDR documentation support

5.2. Prohibited Use

You may NOT:

• Resell raw API access without our written authorization
• Reverse engineer or attempt to access source code
• Overload systems (exceeding rate limits)
• Use for illegal purposes or regulatory fraud
• Submit false or manipulated geometries
• Scrape or mass download reference data layers

6. Rate Limits and SLA

6.1. Rate Limits

• Authenticated: 100 requests per minute
• Anonymous (public verification): 20 requests per minute

6.2. Service Availability

Target SLA: 99.5% uptime (monthly)

We do not guarantee uninterrupted service. Scheduled maintenance will be communicated 48 hours in advance.

7. Intellectual Property

7.1. Our Property

GreenGate retains all rights to:

• Source code and algorithms
• Risk score calculation methodology
• API architecture and design
• Brand and logos

7.2. Your Data

You retain ownership of geometries and metadata you submit. By using the Service, you grant us a limited license to:

• Process and store data for validation purposes
• Generate and archive reports
• Provide public verification via QR Code

7.3. Official Data Sources

Environmental layers (PRODES, FUNAI, IBAMA, ICMBio, INCRA) are public domain data from Brazilian government agencies. GreenGate does not claim ownership of this data.

8. Warranties and Limitations

8.1. Service "As Is"

The Service is provided "AS IS" without warranties of:

• Absolute data accuracy (depends on official source updates)
• Suitability for specific legal purposes
• Uninterrupted or error-free operation

8.2. Data Accuracy

We strive for accuracy but do not guarantee:

• 100% precision of official databases (errors may exist at source)
• Real-time data (updates occur monthly/quarterly)
• Coverage of all environmental risks

Recommendation: Use GreenGate as an initial screening tool. For critical decisions, complement with on-site audits and specialized legal counsel.

9. Limitation of Liability

To the maximum extent permitted by law:

• GreenGate's liability is limited to amounts paid by you in the past 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for regulatory fines or penalties resulting from your use of reports

10. Confidentiality

Both parties agree to:

• Maintain confidentiality of non-public information
• Not disclose technical details of the API
• Protect API keys and access credentials

11. Term and Termination

11.1. Term

These Terms remain in effect while you use the Service.

11.2. Termination by You

You may terminate at any time by ceasing to use the API and requesting account deletion.

11.3. Termination by Us

We may terminate immediately for cause (Terms violation) or with 30 days' notice without cause.

11.4. Effects of Termination

• API key will be revoked
• Outstanding invoices remain due
• Archived validations remain accessible for public verification (unless you request deletion)

12. Changes to Terms

We may modify these Terms with 30 days' notice via email. Continued use after changes constitutes acceptance. If you disagree, you must terminate your account.

13. Applicable Law and Jurisdiction

These Terms are governed by Brazilian law.

For disputes:

• Brazilian customers: Courts of São Paulo, Brazil
• International customers: Parties agree to attempt good-faith negotiation before litigation. If unsuccessful, courts of São Paulo, Brazil

15. Entire Agreement
